Terms for Sellers
1. Acceptance of these terms
These Terms govern your store's use of the ShopZo Vendor app ("the App") to list products and receive orders through ShopZo, operated by AR Home Care Solutions Private Limited ("ShopZo", "we", "us"). By completing onboarding, you agree to these Terms and to our Privacy Policy.
2. Onboarding and KYC
Before your store can go live on ShopZo, you must complete our onboarding flow in the App, including:
- Store profile — name, address, category, opening hours and store location
- Owner details and identity verification
- KYC documents: Aadhaar Card, PAN Card, Shop Establishment License or Udyam registration, a store front photo, a store owner photo, and a bank passbook or cancelled cheque (all required); GST Certificate and an inside-store photo (optional, where applicable)
- Bank account details for payouts, registered with Razorpay for payouts
ShopZo reviews and approves KYC documents before your store is allowed to go live and start receiving orders. We may ask for additional documents or clarification at any time.
3. Listing accuracy
You are responsible for the accuracy of everything you list — product names, descriptions, images, prices and stock. Listings must not be misleading, and products must be genuine and lawful to sell. Where applicable to what you sell, your listings and packaging must also state: expiry or best-before dates, country of origin, and a clear breakup of the price (including any taxes or charges). If you are GST-registered, your GSTIN must be available on request. ShopZo may remove or edit a listing that violates these Terms or applicable law.
Your store page must also make available your store's legal/trade name, address and a customer-care contact, and a grievance contact for customers to reach if a problem is not resolved through ShopZo support.
4. Pricing and stock — your responsibility
You set your own product prices and stock levels in the App, and you are responsible for keeping them accurate and up to date. Customers see the price and availability you set. If a product is out of stock when an order comes in, you must update the App promptly and, where an order cannot be fulfilled, cancel or flag it so the customer is not charged for it.
5. Order acceptance
Orders placed against your live listings are routed to your store in the App. You are expected to acknowledge and act on incoming orders promptly — confirming, packing and handing them to the assigned delivery partner (or delivering yourself, where you do so) within the timelines shown in the App. Repeated failure to fulfil accepted orders may result in the actions described in Suspension and termination below.
6. Packaging and handover
You are responsible for packing orders adequately so items arrive in the condition the customer expects, and for handing over the correct items and quantities to the delivery partner or customer. Perishable, fragile, or category-specific packaging norms (where applicable to what you sell) are your responsibility as the seller of record.
7. Subscription and fees
Any subscription plan, listing fee, or commission that applies to your store is shown to you in the App before you agree to it, and may change from time to time with notice in the App. We do not state specific fee amounts on this page — always refer to the current terms shown in the App at the time you subscribe or renew. At present no subscription fee is charged to list a store on ShopZo; if a paid plan is introduced, its price and terms will be shown in the App before you opt in.
ShopZo may offer paid or featured "Deals" placements that display a store or product more prominently than the default nearest-first ordering. At present such placements are free; if paid placements are introduced they will be clearly labelled and offered only on an opt-in basis. Placement is at ShopZo's discretion and does not guarantee sales.
8. Payouts
Payouts for your orders are settled to your bank account through Razorpay, our payments and payouts partner, based on your delivered/completed orders, net of any commission and any tax collected or deducted at source (for example, TCS under the CGST Act or TDS under Income-tax Act s.194-O). You are responsible for keeping your bank details in the App accurate and up to date.
9. Use of customer data
Orders give you a customer's name, phone number and delivery address. You may use this information only to fulfil that order — packing, delivering and providing order-related support. You must not use it for marketing, resell it, or share it with anyone else.
10. Content you upload
You must not upload or share listings, images or other content that: belongs to someone else and you have no right to share; is obscene or invades another person's privacy; is harmful to a child; infringes anyone's intellectual property rights; is unlawful; is deceptive or misleading; impersonates another person or business; threatens India's unity, integrity, security, sovereignty or public order; contains malware or harmful code; or is patently false. We may remove content that breaks these rules and suspend or terminate your store. We will remind you of this list from time to time, at least once a year.
11. Suspension and termination
We may suspend or remove your store from ShopZo, temporarily or permanently, for reasons including but not limited to: false or fraudulent KYC information, repeated inaccurate listings or pricing, repeated failure to fulfil orders, selling prohibited or unlawful goods, abusive conduct towards customers or delivery partners, or violation of these Terms. Where possible, we will tell you the reason. You may also stop using the App and close your store listing at any time by contacting info@shopzo.co.in.
12. Liability and governing law
As the seller of record for your listings, you are responsible for the products you sell, including their quality, safety and compliance with applicable law. ShopZo provides the platform connecting you with customers and delivery partners and is not liable for losses arising from your own listings, pricing, stock or fulfilment errors. These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts at Gorakhpur, India. For complaints, see Contact & Grievance Redressal.
